<p id="viewer-cu7vs274">The results of the <a href="https://df6bdc69-72a3-41f6-afcc-9ef479235a5c.usrfiles.com/ugd/df6bdc_096678ad09a04575a0da980a5f832176.pdf" target="_blank" rel="noreferrer noopener"><strong><u>Bayswood flyer drop</u></strong></a> have seen a great rise in community support and interest in donations, pledges, and volunteering. Our team of volunteers enjoyed chatting to Bayswood residents who were really excited to hear that our new Club will provide community meeting and celebration spaces, as well as other sports for their families and friends.</p>

<p id="viewer-h4rwy276"> The <a href="https://www.jbcsc.com.au/post/jbcsc-by-group-heads-of-agreement" target="_blank" rel="noreferrer noopener"><strong><u>Heads of Agreement (HOA)</u></strong></a> with BY Group was welcomed news, especially by the golfers who for some time have wanted to enjoy the amenity of a rejuvenated open clubhouse and see simple course improvements made, including drainage and cart paths that have been impacted by a number of significant rain events in the past few months. They were pleased to hear that the collaboration with BY Group will mean these sorts of repairs and construction can be done much faster upon de-amalgamation. </p>

<p id="viewer-7vw2g280"> The JBCSC Board continues to prepare for de-amalgamation. A lot of hard work is being done &#8211; all by volunteers. Our team is engaging with experts: to finalise the financial viability report; on modest, economical clubhouse re-design; on gaming amenity; and on hospitality and tourism. We’ve received plenty of great expert advice for our Board’s consideration, and certainly there’s exciting times ahead for everyone to enjoy!</p>

<p id="viewer-hh6v9284"> JBCSC Fundraising and Communication Committees have been busy working on setting dates for both fundraising and community engagement events over the summer. Brenda Garnett, JBCSC’s Volunteers Coordinator, has been busy collating a list of community volunteers that can help with in-kind donations. There’s been a tremendous response to assist with carpark improvements; native plants and gardening; skills in building and construction across a range of trades; donating building and paint supplies; helping construct a children’s playground; volunteers to run children’s art classes and creative writing workshops; assistance with BBQing at events; to volunteering with an RSA to work behind the bar. It’s never too late to offer some time and share your passion. <h4 id="viewer-hopj7296" class="wp-block-heading">More community questions answered</h4>

<p id="viewer-v3pdh298">Since JBCSC’s <a href="https://www.jbcsc.com.au/post/jbcsc-partners-with-by-group-to-progress-de-amalgamation" target="_blank" rel="noreferrer noopener"><strong><u>media release</u></strong></a> regarding its business collaboration with <a href="https://www.bygroup.com.au/" target="_blank" rel="noreferrer noopener"><strong><u>BY Group</u></strong></a>, we’ve received some questions from community members which are answered below.</p>

<p id="viewer-33fo5300"> <strong>1. Why would JBCSC partner with BY Group?</strong></p>

<p id="viewer-vhqnp304">Firstly, <a href="https://www.bygroup.com.au/" target="_blank" rel="noreferrer noopener"><strong><u>By Group</u></strong></a> is a local building and construction company (not a developer) with their South Coast office located in Nowra. BY Group has undertaken many construction projects in the Illawarra and Shoalhaven, across the education, health, sports, community, and Government sectors, and they have a proven track record in building, refurbishment, sustainability, solar installations, ecological projects, training and empowering communities. </p>

<p id="viewer-4slqo307">Secondly, as stated in the <a href="https://www.jbcsc.com.au/post/jbcsc-by-group-heads-of-agreement" target="_blank" rel="noreferrer noopener"><strong><u>Heads of Agreement document</u></strong></a>, BY Group has offered to work with JBCSC to “help the Vincentia community build a vibrant and diverse new community club serving Vincentia and the broader Jervis Bay region”. BY Group also brings critical links and established relationships with local businesses and contractors, and with their project management and construction expertise will manage the “transition from a closed clubhouse to an attractive venue [that] will require a careful, modest, but essential refurbishment of the premises”. The JBCSC Board is in control with BY Group providing construction and project management skills where appropriate. Safeguards are in place to ensure value for money and best outcomes for JBCSC.</p>

<p id="viewer-i7u86310">Please take the time to visit <a href="https://www.bygroup.com.au/community" target="_blank" rel="noreferrer noopener"><strong><u>BY Group’s website</u></strong></a> where you will see that they invest in developing human capability through apprenticeships, training and mentorship programs (secondary, vocational and tertiary), and actively support community and sports groups. We believe JBCSC + BY Group is the right fit to achieve our immediate goals, as well as our longer-term vision as outlined in this slideshow:</p>

<p id="viewer-b11xw312"> <strong>2. Has BY Group donated funds for JBCSC to de-amalgamate from SGBCC? </strong></p>

<p id="viewer-vlurj320">No, BY Group is not donating money. BY Group is a business partner with JBCSC. As stated in the <a href="https://www.jbcsc.com.au/post/jbcsc-by-group-heads-of-agreement" target="_blank" rel="noreferrer noopener"><strong><u>HOA</u></strong></a>, “Collaboration with BY Group will enable JBCSC to deliver better and more immediate outcomes for the Vincentia and Jervis Bay communities”. BY Group will provide construction and project management support that also draws upon the use of local tradies, apprentices and trainees, as well as JBCSC’s army of volunteers. </p>

<p id="viewer-9qauf322"> Part of this business collaboration involves BY Group providing a loan that will enable JBCSC to pay the $2 million walkaway fee for de-amalgamation. This loan is at more favourable terms and a better interest rate than we were offered commercially. As stated in the <a href="https://www.jbcsc.com.au/post/jbcsc-by-group-heads-of-agreement" target="_blank" rel="noreferrer noopener"><strong><u>HOA</u></strong></a>, this loan will be secured by a mortgage against the title for 49 Murray Street, Lot 1 DP545282 (clubhouse and carpark) only. Not the golf course lot, the land title of which will remain in JBCSC’s possession.</p>

<p id="viewer-v6r0k326"> <strong>3. Why is fundraising from the community an important part of JBCSC’s financial viability?</strong></p>

<p id="viewer-c3bfd330">On October 12, the JBCSC Chair published a letter to the community about just this, <a href="https://www.jbcsc.com.au/post/financial-viability-fundraising-for-your-club-s-future" target="_blank" rel="noreferrer noopener"><strong><u>‘Financial viability &amp; fundraising for your club’s future’.</u></strong></a> A huge amount of work has been undertaken by our accountancy experts on financial viability calculations and documentation to demonstrate that Jervis Bay Community &amp; Sports Club will be financially viable. Noting that two very key steps in this process includes: (a) submission of a business plan to an independent auditor for financial viability approval (i.e., confirming that JBCSC’s projections and financial calculations stack up); and later (b) apply to the <a href="https://www.ilga.nsw.gov.au/" target="_blank" rel="noreferrer noopener"><strong><u>NSW Independent Liquor &amp; Gaming Authority (ILGA)</u></strong></a> for regulatory approval of de-amalgamation. Also noting that a members’ vote needs to occur between these stages. <strong>This all takes time.</strong></p>

<p id="viewer-3ly6r333">As stated in the above letter, “NSW ILGA needs to be convinced that our community is prepared to invest in, support and sustain JBCSC’s future.” This is why we need pledges to demonstrate community buy-in, which is also critical in supporting future grant applications to secure funding for facility upgrades, new infrastructure, and establishing a range of community-based programs to make JBCSC a thriving community precinct for the Bay &amp; Basin area. </p>

<p id="viewer-lyc46335"> <strong>4. What can I do right now to help?</strong></p>

<p id="viewer-x4vu9339">While the JBCSC Board, Project Team, Working Group and increasing team of volunteers continues to work on a whole range of critical tasks, we ask you to continue to <a href="https://www.jbcsc.com.au/fundraising" target="_blank" rel="noreferrer noopener"><strong><u>donate, pledge</u></strong></a> and volunteer to help us get closer to reaching our goal of de-amalgamation and to getting our new Community and Sports Club operational.</p>

<p><strong>The Jervis Bay Community and Sports Club (JBCSC) has announced that the St Georges Basin Country Club (SGBCC) has been advised that a major local Shoalhaven company, BY Group Pty Ltd, will be working with JBCSC to help acquire the Vincentia<br>Golf Club precinct, and to establish and grow the new community club at Vincentia</strong>.</p>



<p><br>The JBCSC Chair, Craig Hatton, said that the St Georges Basin Country Club was informed last week that BY Group is positioned to guarantee the required $2 million for the purchase of the Vincentia Golf Club.  Both SGBCC and JBCSC have been working constructively and collaboratively to complete the due diligence that will underpin the preparation for Member votes on deamalgamation and then the application to the NSW Independent Liquor &amp; Gaming Authority (ILGA) for the transfer of licences.<br>The announcement now of the financing and partnership arrangements with BY Group is an important advance in the sequence of commercial, regulatory and governance steps necessary to achieve de-amalgamation.</p>



<p><br>This announcement is an important milestone for JBCSC, which had over recent months been reviewing a number of funding options.  “The link with BY Group was the one that we felt was the best fit with JBCSC’s community focus”.  “Collaboration with BY Group will enable JBCSC not only to complete the acquisition and re-open operations in Vincentia, but we are also confident that by working together we will be able to achieve so much more for the community, and to deliver those benefits earlier.”<br>It is also a significant commitment by BY Group but one which the company says is very much aligned with the company’s values, and a financial commitment well within the capacity of a company with a broad commercial portfolio.</p>



<p><br>BY Group is a Shoalhaven-based building and construction company committed to the betterment of disadvantaged communities across Australia, New Zealand, and the Pacific.<br>It has proven capacity to manage large, complex as well as smaller, communityoriented projects while delivering significant social and economic outcomes both nationally and internationally. It is also a trusted delivery partner executing a large<br>portfolio of contracts for both Federal and State Governments.<br>BY Group will be a strategic partner with JBCSC to help the Vincentia community build a vibrant and diverse new community club serving Vincentia and the broader Jervis Bay region.  A special focus will be the contribution that BY Group can make in supporting JBCSC’s vision by creating education pathways, apprenticeships, training programs, and job opportunities for local disadvantaged youth and other members of the community, as we move to re-open and refurbish the Vincentia clubhouse.</p>



<p><br>Mr Hatton said that the de-amalgamation process is still at an early stage and there is a lot of work ahead as the Boards of SGBCC and JBCSC navigate through the necessary sequence of steps set out in the NSW Registered Clubs Act (1976).</p>



<p><br>Although it is a long process, Mr Hatton said that a careful and methodical approach is important so that all regulatory and governance requirements are met in full.</p>

<div>This then raised the question what happened to the money raise through the GoFundMe program that Friends of Vincentia Golf Club started up last year.  The following details where they went and what is left:</div>
<div></div>
<div><b>Where has the “Go Fund Me” money been spent?</b></div>
<div></div>
<div>Community financial support for FoVGC has gone a long way. Basically, the majority of money spent has gone to provide legal advice and activities. Other money was spent on the establishment and initial costs for JBCSC.</div>
<div></div>
<div> Following the 25 August 2024 EGM where the Country Club members voted overwhelmingly to reject the recategorization and sale of Vincentia, the Country Club shut both the course and the clubhouse. This prompted FoVGC to set up a GFM to pay for legal advice and preparation for future legal action.</div>
<div></div>
<div> Prior to this point FoVGC had been funded entirely by personal donations from the committee. Legal advice and opinion had been provided for free.</div>
<div></div>
<div> With generous support of the community, the GFM raised $65,000 in fairly quick time. It is now over a year since then and a lot of progress has been made. The CC Board has agreed to de-amalgamation; the course has re-opened; JBCSC has been established as a new, separate entity: an EOI was submitted and has now been accepted in principle by the CC. Without the GFM funding, much of this progress would not have been possible.</div>
<div></div>
<div> As mentioned previously, the GFM money has been mostly spent on legal fees of (approximately $40,000). Our lawyer was recommended by Golf NSW as a firm qualified to address our particular issues. They have provided good rates and done a number of activities for free. This included:</div>
<div></div>
<div>·      $11000 spent on legal advice.</div>
<div></div>
<div>·      $7000 spent on legislation advice.</div>
<div></div>
<div>·      $8000 spent on a letter from our lawyers to the Country Club outlining our concerns and irregularities. Note that this letter from our lawyers has not been responded to by the Country Club or their lawyers which is highly irregular in itself.</div>
<div></div>
<div>·      $13,000 spent on de-amalgamation and EOI advice.</div>
<div></div>
<div>Additional GFM money was spent on setting up the JBCSC to allow for an EOI to be submitted. This included ASIC costs, Golf NSW membership costs and website domain hosting. Legal advice regarding de-amalgamation was shared with JBCSC.</div>
<div></div>
<div> The remaining GFM $ are being held in reserve for future legal advice and action should the de-amalgamation process not proceed as expected. Once de-amalgamation is achieved, FoVGC have determined that the remaining funds will go to pay for JBCSC expenses (in accordance with the GFM charter).</div>
<div></div>
<div>There is still a long way to go. Until JBCSC can be established as a registered club, the (likely substantial) costs of achieving regulatory approval and de-amalgamation, as well as on-going costs will need to be funded.  Apart from donations and pledges, there will be community fundraising activities held to provide financial support and enhance the sense of community. The JBCSC website provides details on how you can donate or pledge via a tax deductable mechanism (the Australian Sports Foundation) and what the money will go towards.</div>
<div></div>
<div> Demonstrated community commitment via donations and pledges will directly support the case for de-amalgamation which has to be presented to ILGA. It will also provide support for grant applications to government agencies.</div>
<div></div>
<div>As a community, we want to retain Vincentia Golf course and club in Community hands and we can do it! FoVGC and other community groups are providing ongoing support to JBCSC to achieve de-amalgamation and the establishment of a new club.</div>
<div></div>

									On behalf of JBCSC Board, Craig Hatton (Chair) would like to thank the entire Jervis Bay community for their strong support throughout our journey into an exciting new era as we progress to de-amalgamation with the St Georges Basin Country Club.

Many of you will be aware JBCSC is a not-for-profit, start-up company established by members of the Jervis Bay community.

We now need your financial support for our next steps forward. We are raising funds, through the Australian Sports Foundation (ASF), a tax-deductible fundraising platform to enable the JBCSC to re-establish and maintain the Vincentia Golf Club precinct as a thriving, inclusive community centre. Our goal is to provide an enhanced golf precinct with multiple sports facilities; a venue with hospitality services for functions, social gatherings and community celebrations; and work training programs for young people, while preserving an important green space &#8211; a haven for Shoalhaven flora and fauna &#8211; for future generations.

To achieve our vision, the JBCSC Board is seeking financial support from our community members and supporters in the form of a donation into our JBCSC Operations Fund and/or pledge onto our JBCSC Future Fund.

<p>JBCSC Letter of Offer</p>
<p>Dear Mr Clegg,<br />
The Jervis Bay Community and Sports Club Ltd (JBCSC) is prepared to pay $2 million to acquire the assets of Country Club Vincentia (CCV)</p>
<p>Payment would be made at the completion of de-amalgamation in accordance with the Registered Clubs Act 1976.</p>
<p>The steps involved in de-amalgamation impose responsibilities on both parties, and we will each need to satisfy ourselves on these as we progress.</p>
<p>Both parties will need to be satisfied with those due diligence investigations before JBCSC and SGBCC enter a definitive document, including the customary terms for such acquisitions.</p>
<p>JBCSC is putting this on the table now to ascertain whether the Board regards an acquisition consideration of $2M as providing an acceptable basis on which to progress to the next steps.</p>
<p>JBSCS has secure funding to support this offer.  You will also want assurance that our new club will be financially viable.</p>
<p>That assurance of JBCSC’s viability will be provided by the report of an Independent Accountant, as required under the Registered Clubs Act Regulation 2015 (Clause 11).  JBCSC will be more than a traditional club. While sports, particularly golf, will be at the<br />
heart of the new Vincentia precinct, JBCSC will also incorporate a range of community activities.</p>
<p>Especially important will be initiatives addressing the gaps in youth training in Vincentia and the surrounding areas, particularly the needs of our vulnerable youth.</p>
<p>The Board’s announcement of de-amalgamation of CCV was welcomed by Vincentia members and the community. The innovative venture JBCSC is now embarking on has strong support.</p>

We understand this letter was tabled and considered at the SGBCC Board meeting on Monday June 23</span></p>

<div data-hook="rcv-block3">The JBCSC Board and Project Team were pleased to read <a class="WAzZp aiPD3" href="https://talkbox.impactapp.com.au/communications/view/Email/Lvlcc3pd6Lx41u3umSqt3Q==/-jIh" target="_blank" rel="noopener noreferrer" data-hook="web-link"><u>SGBCC’s announcement on Wednesday June 25</u></a> that acknowledged “the strong local advocacy behind the proposal and appreciate the effort made by JBCSC in bringing forward a community-driven concept”. That is what JBCSC has been working on since its inception in February 2025. From the outset, JBCSC has wanted to provide training opportunities for disadvantaged youth in our area JBCSC is keen to establish open discussions with SGBCC Board and Management as we move towards the next phase of de-amalgamation. Please note that the de-amalgamation process can take many months which requires due diligence of both parties, and much of the discussions between the parties moving forward will need to remain confidential. That said, JBCSC will provide updates as discussions progress.</div>
